1. Acceptance of Terms
By accessing or using the Offersees website at www.offersees.com or any Offersees product (the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
2. Description of Services
Offersees provides AI-powered software services, including GEO Optimization (generative engine visibility analytics), AI Music (AI-assisted music composition), and Encrypted Album (end-to-end encrypted media storage). The Services may be updated, modified, added to, or discontinued from time to time at our discretion.
3. Eligibility and Accounts
You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at support@offersees.com of any unauthorised use.
4. Acceptable Use
You agree not to use the Services to:
- Violate any applicable law or regulation.
- Infringe the intellectual property, privacy, or other rights of others.
- Generate, upload, or distribute content that is illegal, harmful, deceptive, harassing, or that sexualises or endangers minors.
- Attempt to reverse-engineer, decompile, probe, or interfere with the Services or underlying infrastructure.
- Use the Services to train competing AI models without our written permission.
- Circumvent rate limits, access controls, or other technical restrictions.
We may suspend or terminate accounts that violate these rules.
5. User Content
You retain ownership of the content you submit to or create with the Services ("User Content"). You grant Offersees a limited, worldwide, royalty-free licence to host, process, and display User Content strictly to the extent necessary to operate the Services on your behalf. For Encrypted Album, User Content is end-to-end encrypted and we do not have the ability to read it.
You are solely responsible for User Content and for making sure you have the rights to submit it.
6. AI-Generated Output
Outputs generated by the Services (including generated music in AI Music and generated reports in GEO Optimization) are provided to you. Subject to your compliance with these Terms, you may use those outputs for personal and commercial purposes in accordance with the product-specific licensing terms presented at the time of generation. Offersees makes no warranty that AI-generated outputs will be accurate, non-infringing, or fit for any particular purpose.
7. Intellectual Property
The Services, including software, designs, text, graphics, and logos (excluding User Content and AI-generated outputs licensed to you), are owned by Offersees or our licensors and are protected by applicable intellectual-property laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.
8. Subscriptions and Payment
Some Services or features may be offered on a paid or subscription basis. Pricing, billing intervals, and renewal terms will be presented before purchase. Payments are non-refundable except where required by law or explicitly stated at the time of sale. You are responsible for all applicable taxes.
9. Termination
You may stop using the Services and delete your account at any time by contacting support@offersees.com. We may suspend or terminate your access to the Services if you breach these Terms, if required by law, or if we reasonably believe your use poses a risk to other users or to Offersees. Sections that by their nature should survive termination (including intellectual-property, disclaimers, limitation of liability, and governing-law clauses) will survive.
10. Disclaimers
The Services are provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, Offersees disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not guarantee that the Services will be uninterrupted, error-free, or secure.
11. Limitation of Liability
To the fullest extent permitted by law, Offersees and its affiliates, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with your use of the Services. Our aggregate liability for any claim arising out of these Terms or the Services will not exceed the greater of (a) the amounts paid by you to Offersees in the twelve months preceding the claim, or (b) one hundred Singapore dollars (SGD 100).
12. Indemnification
You agree to defend, indemnify, and hold harmless Offersees from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your User Content, your use of the Services, or your breach of these Terms.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of Singapore, without regard to conflict-of-laws principles. Any dispute arising out of or in connection with these Terms or the Services will be submitted to the exclusive jurisdiction of the courts of Singapore, except where applicable consumer-protection law grants you the right to bring proceedings in your country of residence.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated by updating the "Last updated" date and, where appropriate, by notice within the Services or by email. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
